General Terms and Conditions
Effective September 1, 2026

1. Introduction and Scope
These General Terms and Conditions ("GTC" or "Agreement") govern the access to and use of the Omisai Partner Platform ("Platform") operated by Omisai ("Omisai", "we", "us", or "our").
This Agreement applies exclusively to business-to-business (B2B) relationships. By accessing or using the Platform, you confirm that you are acting on behalf of a legal entity ("Company" or "Partner") and that you have the authority to bind such entity to this Agreement.
The Platform is intended solely for authorized representatives, employees, and legal agents of our Partners. Access is granted only through an explicit invitation issued by Omisai or by a duly authorized Partner Administrator.
2. Definitions
- Platform
- The Omisai Partner Platform, including all its features, interfaces, tools, and services accessible via the web application.
- Partner
- The legal entity (business, organization, or company) that has entered into a service agreement or contract with Omisai and whose representatives access the Platform.
- User
- An individual natural person — including employees, managers, directors, or authorized legal representatives — who accesses the Platform on behalf of a Partner.
- Partner Administrator
- A User who has been granted administrative privileges for their Partner account, with the ability to invite and manage other Users.
- Services
- The services, features, and functionalities made available through the Platform, including but not limited to project management, document handling, ticket tracking, service subscriptions, and communication tools.
- Account
- The individual user account created upon acceptance of an invitation, associated with a specific Partner.
- Invitation
- A secure, token-based link sent by Omisai or a Partner Administrator to a specific email address, granting that individual the right to register and access the Platform.
3. Access and User Accounts
3.1 Invitation-Only Access
Access to the Platform is strictly by invitation only. Registrations without a valid invitation token are not permitted. Each invitation is issued to a specific email address and may not be transferred or shared.
3.2 Registration Requirements
Upon receiving a valid invitation, a User must complete the registration process by providing their full name, accepting these GTC, and setting a secure password. The following personal data is collected and processed during registration:
- Full name — used to identify the User within the Platform and in communications.
- Email address — serves as the unique identifier and primary communication channel.
- Title / Role in Company — optionally provided to indicate the User's position or function within their Partner organization.
3.3 Acceptance of GTC
Prior to completing registration and accepting an invitation, each new User must explicitly accept these GTC. Use of the Platform constitutes continued acceptance of the then-current version of these terms.
3.4 Account Security
Users are solely responsible for maintaining the confidentiality of their login credentials. Users must notify Omisai immediately upon becoming aware of any unauthorized use of their account or any security breach. Omisai reserves the right to suspend or terminate accounts suspected of unauthorized use.
3.5 Account Roles
Each User is assigned a role within their Partner account — either Partner Administrator or Partner Employee. These roles determine the scope of access and the actions a User may perform within the Platform. Role assignments are managed by Partner Administrators and may be modified by Omisai for security or compliance reasons.
4. Rights and Obligations of Partners and Users
4.1 Authorized Use
The Platform may only be used for lawful purposes and strictly in connection with the services or contractual relationship between the Partner and Omisai. Users undertake to:
- Provide accurate, complete, and up-to-date information when registering and using the Platform;
- Use the Platform only for activities directly related to the Partner's engagement with Omisai;
- Comply with all applicable laws, regulations, and third-party rights when using the Platform;
- Not share their access credentials with any third party;
- Not attempt to reverse engineer, decompile, or otherwise tamper with the Platform's software or infrastructure.
4.2 Partner Responsibilities
Partners are responsible for ensuring that their Users comply with these GTC. The Partner guarantees that its representatives who access the Platform are authorized to do so and are bound by obligations no less restrictive than those set forth in this Agreement.
4.3 Prohibited Conduct
Users and Partners must not:
- Upload, transmit, or distribute any content that is unlawful, harmful, defamatory, or infringes third-party intellectual property rights;
- Engage in any activity that disrupts, overloads, or impairs the Platform's functionality or infrastructure;
- Attempt to gain unauthorized access to any part of the Platform or to other Partners' accounts or data;
- Use automated tools (bots, scrapers, crawlers) to interact with the Platform without prior written consent from Omisai.
5. Services and Availability
5.1 Service Scope
The features and services available to each Partner are determined by their respective service agreement or contract with Omisai. Access to specific modules (e.g., project management, ticketing, document handling, offers, referrals) depends on the Partner's subscriptions and assigned roles.
5.2 Platform Availability
Omisai strives to provide continuous Platform availability but does not guarantee uninterrupted access. Scheduled maintenance, security updates, or unforeseen technical issues may temporarily affect availability. Omisai will endeavor to provide reasonable advance notice of planned maintenance.
5.3 Modifications
Omisai reserves the right to modify, update, or discontinue any feature or service of the Platform at any time, with or without notice. Material changes affecting the core functionality of the Platform will be communicated to Partners through appropriate channels.
6. Intellectual Property
All intellectual property rights in and to the Platform — including but not limited to software, designs, trademarks, logos, content, and documentation — are and shall remain the exclusive property of Omisai or its licensors.
Users and Partners are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for the purposes set forth in this Agreement and the relevant service contract. No other rights are granted.
Content submitted or uploaded by Users to the Platform remains the property of the respective Partner. By submitting content, Partners grant Omisai a limited license to process and display such content solely for the purpose of providing the Services.
7. Confidentiality
Both parties agree to maintain the confidentiality of information designated as confidential or that would reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure. This obligation does not apply to information that:
- Is or becomes publicly available through no fault of the receiving party;
- Was already known to the receiving party prior to disclosure;
- Is independently developed by the receiving party without reference to the confidential information;
- Is required to be disclosed by law or regulatory authority.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Omisai shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the use of or inability to use the Platform, including loss of profits, data, or business opportunities.
Omisai's total aggregate liability to a Partner arising under or in connection with these GTC shall not exceed the amounts paid by the Partner to Omisai in the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these GTC limits or excludes liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be lawfully limited or excluded.
9. Data Protection
The processing of personal data in connection with the use of the Platform is governed by our Privacy Policy, which forms an integral part of this Agreement. By accepting these GTC, Users acknowledge and accept the Privacy Policy.
Omisai acts as the data controller for personal data collected from Users during registration and use of the Platform. Partners may also act as independent data controllers with respect to the personal data of their own employees. Each party is responsible for complying with applicable data protection laws in relation to the personal data under their control.
10. Term and Termination
10.1 Duration
These GTC remain in effect for as long as the User maintains an active account on the Platform, or until the underlying service agreement between the Partner and Omisai is terminated.
10.2 Termination by User
Users may request the deactivation of their account at any time by contacting Omisai or through the account settings, subject to the terms of the service agreement with the Partner.
10.3 Termination by Omisai
Omisai may suspend or terminate a User's access to the Platform with immediate effect, without notice, in cases of:
- Breach of these GTC;
- Termination of the Partner's service agreement;
- Conduct that poses a security risk to the Platform or other Users;
- Legal or regulatory requirements.
10.4 Effect of Termination
Upon termination, the User's right to access the Platform ceases immediately. Provisions of these GTC that by their nature should survive termination — including confidentiality, intellectual property, limitation of liability, and dispute resolution — shall remain in force.
11. Amendments
Omisai reserves the right to amend these GTC at any time. Partners and Users will be notified of material changes via the email address associated with their account or through a notice displayed on the Platform. Continued use of the Platform following notification of changes constitutes acceptance of the updated GTC.
If a User does not agree to the revised terms, they must discontinue use of the Platform and may request account deactivation.
12. Governing Law and Dispute Resolution
These GTC shall be governed by and construed in accordance with the laws of the jurisdiction in which Omisai is incorporated, without regard to conflict of law principles.
Any dispute arising out of or in connection with these GTC shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the competent courts of Omisai's jurisdiction of incorporation.
13. Miscellaneous
13.1 Entire Agreement
These GTC, together with the Privacy Policy, Cookie Policy, and any applicable service agreement, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior understandings.
13.2 Severability
If any provision of these GTC is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
13.3 No Waiver
Failure by either party to enforce any right or provision of these GTC shall not constitute a waiver of such right or provision.
13.4 Contact
For questions regarding these GTC, please contact Omisai through the official communication channels established in your service agreement.
